The Service:

Mr. Bogen’s preferred role is acting as General Counsel for his clients.  Acting in this capacity enables him to make maximum use of his excellent and tested legal and business judgment and experience and his ability to properly evaluate and weigh multiple inputs and impacts of any particular decision or course of action.  And, of great importance to Mr. Bogen, he is able to participate as a key member of the senior management team in establishing, building and growing the company’s business.

 

As General Counsel, Mr. Bogen takes on the responsibility for providing senior management with effective advice on company strategies and their implementation, managing the legal function, and retaining and overseeing the work of outside counsel. He is directly involved in all complex business transactions, in negotiating critical contracts, and in overseeing litigation and resolving disputes, and he is charged with responding to governmental inquiries and investigations, as well as overseeing general compliance matters and legal issues relating to employment and labor matters. 

 

Mr. Bogen is ideally suited to take on the position of General Counsel for smaller organizations with multiple legal matters but that do not need a full-time General Counsel or for companies that require an interim General Counsel while searching for a full-time General Counsel.

Examples:

Castle Connolly Private Health Partners, LLC: Mr. Bogen is the General Counsel of this concierge medicine management and facilitation company. In such capacity, he actively participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. He also serves as the key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures, and joint ventures, and works closely with other members of Senior Management to resolve disputes.  In addition, Mr. Bogen advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities. BioDental Sciences, LLC: Mr. Bogen was a key player in forming this technology company that provides a platform for connecting dentists & labs.  As such he was responsibile for, among other things, forming and structuring, capital raising documentation and negotiations, employment agreements with senior executives, leases, acquisitions, intellectual property matters, dispute resolution, and contractual matters.

 

Hi Pablo, Inc.:  Mr. Bogen served as General Counsel for this company that developed, patented and marketed a lightpainting video mobile application to enable users to capture the essence of night life and light trails by freezing light and creating light drawings in video form.  Representation included organizational documents, shareholders’ agreement, capital raising documents, employment agreements and marketing and consulting agreements.

 

Bold Organics, LLC:  Mr. Bogen acted as the General Counsel for this start-up company that developed, manufactured and distributed frozen organic gluten free pizza which ultimately was sold to a large consumer brand company.  Representation included formation, organizational matters, operating agreement, capital raising matters, contractual matters, dispute resolution, intellectual property matters, employment matters and sale of the business.

 

Solomon & Kuff Rum Hall:  Mr. Bogen handled all legal matters for this restaurant in Manhattan, including, formation, organizational documents, employment arrangements, dispute resolutions, restructuring and sale, drafting and negotiating consulting arrangements, and lease matters.

 

Glenn Falls House Hotel Resort:  Mr. Bogen handled the formation and capitalization of a company that purchased a hotel resort located 2 hours north of New York City, in Round Top, New York.  He drafted and negotiated the purchase, including the real property acquisition, management and consulting agreements, and he provides ongoing representation on joint ventures, employment agreements and arrangements, capital raising and other financing transactions and matters, dispute resolution, and general contractual matters.  See https://www.glenfallshouse.com.
 

Wyckoff Heights Medical Center:  For more than 5 years, Mr. Bogen has served as the effective outside Assistant General Counsel to the General Counsel of this 350-bed teaching hospital in the ethnically diverse residential neighborhood directly on the border of northern Brooklyn and western Queens, New York.  In this service, he handles leases, employment agreements and disputes, novel, sophisticated and material contracts, and oversight of litigation and dispute resolutions, including a series of related litigations involving more than 15 different defendants and millions of dollars in claims.  In addition, he is the primary counsel to the Board of Trustees of this not-for-profit corporation.  


Multiple Medical Practices:  Mr. Bogen is General Counsel for a number of medical and dental practices, covering among other things, employment matters, mergers, acquisitions and divestitures, compliance matters, commercial leases, contracts, and dispute resolution.

Billing Arrangements:

Mr. Bogen customizes his compensation arrangements to fit the needs of his clients for whom he serves as General Counsel.  Some examples include:

 

  • Monthly fixed retainer amount

  • Monthly fixed retainer amount with adjustments if billable time exceeds or is less than certain thresholds 

  • Monthly fixed retainer covering basic services with hourly billing for additional projects

  • Hourly billing

  • Fixed fees for certain discrete projects

  • Combinations of the foregoing
